Our Terms & Conditions

1. Acceptance of Terms

By engaging Songiwe Group (Pty) Ltd (“Songiwe Group,” “we,” “us,” or “our”) for services, either via our website (www.songiwegroup.co.za), telephone, WhatsApp, or any other means, you (“the Client,” “you,” “your”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use our services.

2. Services Overview

Songiwe Group provides administrative and financial services including, but not limited to:
• Company and Non-Profit Registration (CIPC)
• Name Reservation, Beneficial Ownership, Share Certificates
• Tax Registrations (SARS), Tax Clearance, Annual Returns
• BEE, CIDB, CSD, COID, UIF Registrations and Certifications
• Bookkeeping, Financial Statements, Payroll Management
• Tax Preparation and Filing, Business Advisory, Asset Management

3. Fees and Payment Terms

3.1. Pre-Payment Requirement

All services require full payment upfront before any work is initiated. Your instruction to us is considered official only upon our confirmation of receipt of full payment.

3.2. Quotes.

All quotes provided are valid for a specified period (e.g., 30 days) and are subject to change thereafter.

3.3. Additional Costs.

The Client is responsible for all third-party government fees (e.g., CIPC, SARS filing fees) unless otherwise stated in writing. These are separate from our service fees and will be quoted accordingly.

4. Strict No-Refund Policy

4.1. All fees paid to Songiwe Group are strictly non-refundable.

This policy is firm due to the nature of our services, which involve the immediate allocation of professional resources, consultant time, and the initiation of irreversible processes with third-party bodies (CIPC, SARS, etc.) on your behalf.

4.2. Scope.

This no-refund policy applies under all circumstances, including but not limited to:
• Client-initiated cancellation after payment.
• Change of mind or circumstance.
• Delays or rejections by a third-party authority due to incomplete, inaccurate, or late information provided by the Client.
• The Client’s ineligibility for a service that was not apparent at the time of engagement.
• Dissatisfaction with the outcome or decision of a third-party authority, which is beyond our control.

5. Client Responsibilities

5.1. Accurate Information.

You warrant that all information provided to us is accurate, complete, and truthful. We rely on this information to perform our services. We are not liable for any delays, rejections, or penalties arising from inaccurate information you supply.

5.2. Timely Cooperation

You agree to cooperate promptly with our requests for information, documentation, or signatures required to complete the service. Failure to do so may lead to delays and may result in the forfeiture of the service credit option outlined in Section 6.

5.3. Third-Party Processes

You acknowledge that we act as an agent/intermediary between you and government bodies. While we use our expertise to facilitate the process, we cannot guarantee specific processing times or outcomes from CIPC, SARS, or other entities.

6. Service Credit as Sole Remedy

6.1. Service Credit Offer

While refunds are not available, we are committed to client satisfaction. If you are dissatisfied or wish to cancel a service that has not yet been physically submitted to the relevant authority (at our sole discretion), our sole obligation and your exclusive remedy is the issuance of a Service Credit.

6.2. Credit Value and Use

The Service Credit will be equal to the amount paid for the unsubmitted service. This credit can be applied towards any other service offered by Songiwe Group of equal or greater value. If the new service is of a higher value, you will be responsible for paying the difference.

6.3. Request Process

A Service Credit must be requested in writing via email to [accounts@songiwegroup.co.za]. The credit is valid for 12 months from the date of issue and is non-transferable.

7. Limitation of Liability

To the fullest extent permitted by law, Songiwe Group’s total liability to you for any claim, loss, damage, or expense (including legal fees) shall not exceed the total fee you paid for the specific service giving rise to the claim. We shall not be liable for any indirect, consequential, or incidental damages, including lost profits or opportunities.

8. Indemnification

You agree to indemnify and hold harmless Songiwe Group, its employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your use of our services, or your violation of any law.

9. Termination

We reserve the right to terminate or refuse service to anyone for any reason at our sole discretion. In such an event, the no-refund policy and service credit clause will apply.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute shall be subject to the exclusive jurisdiction of the courts of South Africa.

11. Amendments

We reserve the right to modify these Terms and Conditions at any time. The most current version will always be posted on our website. Continued use of our services after changes constitute acceptance of the new terms.
